1. Purpose of Coaching

The purpose of this coaching engagement is to support the Client’s leadership development through confidential, faith-integrated executive coaching. Coaching is designed to foster clarity, discernment, accountability, and faithful stewardship of leadership responsibility.

Coaching is not therapy, counseling, pastoral care, legal advice, or financial advice.

2. Scope of Services

Theontos Coaching will provide the following services:

• One-on-One Executive Coaching Sessions

o Two (2) sessions per month

o Each session approximately sixty (60) to seventy-five (75) minutes

o Sessions conducted via video conference or other mutually agreed format

• Between-Session Support

o Limited email or written reflection support related to session topics, at Coach’s discretion

• Areas of Coaching May Include

o Leadership formation and spiritual discernment

o Faith integration in executive decision-making

o Stewardship of authority, responsibility, and influence

o Sustainability, resilience, and endurance in leadership

Coaching outcomes are not guaranteed, and results depend on the Client’s engagement and application.

3. Confidentiality

All coaching conversations and materials are confidential. Theontos Coaching will not disclose the existence, identity, or content of the coaching engagement without the Client’s express written consent, except as required by law.

4. Client Responsibilities

The Client acknowledges and agrees that:

• Coaching effectiveness depends on honesty, engagement, and follow-through

• The Client retains full responsibility for decisions, actions, and outcomes

• Coaching is a collaborative process, not directive management

• The Client is encouraged to seek legal, financial, medical, or pastoral counsel when appropriate

5. Faith Integration

This coaching engagement integrates Christian faith and spiritual formation at the Client’s discretion. Coaching may include Scripture, prayer, theological reflection, or faith-based discernment practices when appropriate and desired by the Client.

Theontos Coaching respects denominational differences and does not impose doctrinal positions beyond historic Christian faith.

6. Scheduling and Rescheduling

Sessions must be rescheduled with at least twenty-four (24) hours’ notice. Missed sessions without notice may be forfeited at the Coach’s discretion and are not guaranteed to be rescheduled.

7. Termination

Either party may terminate this Agreement with thirty (30) days’ written notice.

If the Client has prepaid fees beyond the termination notice period, unused fees will be refunded on a prorated basis. Monthly payments due within the notice period remain payable.

8. Limitation of Liability

The Client agrees that Theontos Coaching and Ryan Berg shall not be liable for any indirect, incidental, or consequential damages resulting from decisions or actions taken by the Client.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.

10. Entire Agreement

The signed Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements. Any amendments must be made in writing and signed by both parties.
